Part 1: Who these terms are with, and what they cover

1. These Fellow Terms ("Terms") are a contract between you and The Wyvern Fellowship Ltd, a private company limited by guarantee registered in England and Wales under company number 17438355, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX ("Wyvern", "we", "us", "our"). They apply whenever you take out a paid Bronze, Silver, Gold or Patron subscription (each a "Subscription"). Taking out a Subscription makes you a "Fellow" within the meaning of Article 12 of our Articles of Association, as explained further in clause 4.

2. These Terms are separate from, and sit alongside: (a) our Website Terms of Use, which govern anyone browsing the site whether or not they hold a Subscription; (b) our Privacy Notice, which explains how we handle your personal data; and (c) our Code of Conduct, which is incorporated into these Terms by reference and forms part of the standards you agree to observe. Where there is a direct conflict between these Terms and the Code of Conduct on a matter of contractual entitlement, these Terms prevail.

3. You must be 18 or over to take out a Subscription. At checkout, you will be asked to confirm your date of birth or to self-certify that you are 18 or over before you can complete payment; providing false information at this step is a breach of these Terms under clause 22(c) and may result in immediate suspension under clause 24. We do not knowingly enter into paid Subscriptions with anyone under 18. See our Age Policy for the full position and the reasons for it. This age minimum applies even though our objects and activities extend to families and, in relation to the free or family-facing aspects of the Fellowship, to people of all ages; a parent or guardian must be the contracting party for any household.

4. Membership of Wyvern as a National Fellow, Local Fellow or Fellow (as those terms are used in our Articles of Association) is a status granted at the absolute discretion of our directors under Articles 9 to 14 of our Articles of Association. Taking out any paid Subscription makes you a Fellow within the meaning of Article 12, a single company-law status, held on payment of the national subscription that Article refers to, regardless of which of the Bronze, Silver, Gold or Patron tiers you choose. Those four tiers describe different packages of benefits available to Fellows from time to time; they are not separate categories under our Articles of Association, and holding any of them does not itself make you a National Fellow or a Local Fellow. National Fellow and Local Fellow status remain separate statuses, granted entirely at the discretion of the directors under Articles 11 and 13 respectively, independently of which Subscription tier (if any) a person holds. Nothing in these Terms confers on you any right to vote at, attend, or otherwise participate in a general meeting of the Company, or any other right of a company-law member, which under our Articles is held only by our directors.

Part 2: Subscription tiers, fees and billing

Tiers and what is included

5. We offer the following paid tiers. Each tier is described below by reference to the access and benefits it carries, not by reference to any outcome, status, opportunity or result you will achieve by holding it.

Gold: £14.99 / month

All Silver benefits, and:

  • Ability to submit project proposals
  • Access to Wyvern's internal project groups
  • Opportunities to help organise Fellowship programmes
  • Regular group video calls with Fellowship staff
  • Further discounts on events and conferences
  • Early access to ticket sales
  • Discounts on merchandise
  • Opportunities to submit entries to the Journal
  • A Wyvern pin, after 3 months' consecutive membership at this tier or higher, or on taking an annual Subscription

See Part 2A below for the Patron tier, which carries all Gold benefits plus its own additional benefits.

Where a benefit is described as "all [X] benefits, and:", this means the benefits are cumulative: a Silver Subscription carries everything listed under Bronze as well as the additional Silver benefits, and so on up through Gold and Patron. Where a benefit (such as the Wyvern pin) becomes available after a period of consecutive membership, that period runs from the date you first took out a paid Subscription at that tier or a higher tier, and moving to a higher tier will not reset or lengthen a qualifying period that has already started to run in your favour.

5A. We only include a benefit in a tier once it is actually available to Fellows holding that tier; we do not advertise a benefit as included in a tier, or as something you will receive by holding it, while it is still in development. We may, separately from the tier descriptions in this clause 5, publish a roadmap or "coming soon" list of benefits we are planning or developing. Anything shown on such a list is not included in any tier, carries no entitlement for existing or new Fellows, and does not form part of these Terms unless and until we add it to a tier under this clause. If we later add a genuinely new benefit to a tier, we may do so with immediate effect, as this can only improve your Subscription. If we remove or materially reduce a benefit from a tier without an equivalent replacement, we will treat that as a material change to these Terms and give you the notice, and the right to cancel, set out in clause 34.

Gold tier and National Fellow status

6. Gold is a content, access and community tier. Purchasing or holding a Gold Subscription does not entitle you to, and is not a step, application, qualifying criterion or route towards, appointment as a National Fellow, a Local Fellow, a director, or any other role or status within Wyvern. This applies equally to Patron. National Fellow status is granted entirely at the discretion of our directors under Article 11 of our Articles of Association, by reference to criteria the directors set from time to time, and no amount paid under these Terms creates any entitlement, expectation, priority or preferential consideration in respect of it. We will not describe or market any tier as a route to National Fellow or Local Fellow appointment, and any statement to the contrary made by any person, in our marketing material or otherwise, is an error, does not bind us, and does not vary these Terms.

Fees, billing and price changes

7. Subscription fees are as shown at checkout for your chosen tier. Bronze is £2.99 per month, Silver is £9.99 per month, and Gold is £14.99 per month, each billed monthly in advance from the date you subscribe. Patron is £1,499.99 per year, billed annually in advance. Your first charge is taken at the point you complete checkout and confirm payment, unless we tell you otherwise for a specific offer.

8. Your Subscription automatically renews at the end of each billing period for a further period of the same length, at the then-current price for your tier, until you cancel it in accordance with clause 15. We will take payment using the card or payment method you have on file unless you update it. You can move between Bronze, Silver and Gold at any time from your /account page: an upgrade takes effect immediately, with a pro-rated charge for the remainder of your current billing period, so you get the higher tier's benefits straight away; a downgrade takes effect from your next renewal, so you keep the benefits you have already paid for until then.

9. We may change our fees. If we increase the price of your tier, we will give you at least 30 days' advance notice by email before the change takes effect. The new price will apply from your next renewal after that notice period. If you do not want to pay the new price, you can cancel under clause 15 before your next renewal, and the increase will not apply to you.

10. Prices are shown inclusive of VAT at the rate applicable at the time each payment is taken. Where we are not registered for VAT, no VAT is included in or added to the price.

Part 2A: Patron subscription

11. Patron is a distinct annual Subscription priced at £1,499.99 per year. Because it is a fixed annual sum paid in exchange for a defined set of benefits, it is a purchase of a Subscription, not a donation or gift, and it is treated as such for these Terms, for VAT and for any public description of it. It is separate from, and must not be described or marketed in a way that could be confused with, a charitable donation: Wyvern is not a registered charity and cannot issue Gift Aid certificates. Anyone wishing to make a discretionary payment with no attached benefit should use the separate donations flow at /donate, governed by our Donations Terms, not this Subscription.

12. Patron carries all Gold benefits, and in addition:

  • Invitations to private events
  • Patron briefings
  • Recognition in Wyvern publications and at events (you may ask us in writing at any time not to name you, and we will comply with that request going forward)
  • Opportunities to sponsor particular projects
  • Membership of the Patrons' Round Table
  • A Patron-only channel on the members' Discord
  • Complimentary merchandise
  • An annual dinner
  • A Wyvern pin

As with all tiers, these are stated as concrete access and benefits, not as outcomes, and clause 6 (Gold tier and National Fellow status) applies equally to Patron: a Patron Subscription is not a route to National Fellow appointment or any other role.

13. Patron renews annually under clauses 7 to 9 above. Because it is an annual, not a rolling monthly, commitment, we will give you at least 60 days' notice before renewal so you have a real opportunity to cancel before being charged again.

14. The cancellation and refund provisions in Part 3 apply to Patron in the same way as to Bronze, Silver and Gold, subject to clause 17 (loss of the cancellation right on accessed digital content) and clause 22 (our right to suspend or terminate).

Part 3: Cancellation, cooling-off and refunds

Your 14-day right to cancel

15. If you are a consumer and this is a distance contract (which it is, if you subscribed online), you have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your Subscription within 14 days of the day you subscribe, without giving any reason, and to receive a full refund of what you have paid. To cancel within this period, tell us clearly, for example by emailing [email protected] or using the cancellation option on your /account page, before the 14 days expire.

16. The Journal is paywalled digital content supplied other than on a tangible medium (i.e. supplied online, not on a disc or similar). The 2013 Regulations allow us to give you immediate access to that content when you subscribe, but only if you separately and expressly consent to that immediate access and acknowledge that doing so means you lose your 14-day cancellation right once we have begun supplying it (or, if you access only part of it, that you lose the right to the extent you have accessed it).

17. Accordingly, at checkout you will be asked to give a separate, explicit acknowledgement, in addition to accepting these Terms: "I want immediate access to paywalled Journal content and I understand that, by accessing it, I lose my right to cancel this Subscription under the Consumer Contracts Regulations 2013." If you do not give this acknowledgement, we will not grant you access to paywalled Journal content until the 14-day period has ended, and your right to cancel and receive a full refund during that period is unaffected.

18. Where you have a right to cancel under clause 15 in respect of a tier that also included non-digital benefits actually provided to you before cancellation (for example, an event you attended), we may deduct a reasonable amount reflecting the value of what was supplied before you cancelled.

Cancelling your ongoing Subscription

19. Outside the 14-day period in clause 15, you can cancel your Subscription at any time from your /account page, or by emailing [email protected]. Cancellation takes effect at the end of your current paid billing period: you keep access for the period you have already paid for, your Subscription will not renew again, and (subject to clause 15) we do not refund the unused part of a period you have already paid for.

20. If we increase our fees under clause 9 and you cancel before the increase takes effect in response to that notice, no early-termination charge applies.

Refunds generally

21. Outside the statutory 14-day right in clause 15 and the specific cases in clauses 9, 20 and 24, Subscription fees are non-refundable, including where you cancel partway through a period, use your Subscription only occasionally, or are dissatisfied with content you have accessed. This does not affect any right you may separately have where we have failed to supply a Subscription with reasonable care and skill under the Consumer Rights Act 2015, which is dealt with in clause 27.

Our right to suspend or end your Subscription

22. We may suspend or end your Subscription, and remove or decline to renew any Fellow status, where:

  • (a) you break these Terms or the Code of Conduct in a way that is more than trivial;
  • (b) a payment due from you fails and is not put right within a reasonable period after we ask you to;
  • (c) we reasonably believe you have provided false information to obtain a Subscription, including about your age;
  • (d) your conduct, on or off our platforms, is such that continuing to treat you as a Fellow would expose Wyvern, its directors, other Fellows or chapter participants to material reputational, legal or safety risk; or
  • (e) we are required to do so by law or by a competent authority.

23. Except where clause 24 (urgent cases) applies, before we suspend or end your Subscription under clause 22 we will: give you written notice of the reason, by reference to the specific ground(s) in clause 22 relied on; give you a reasonable opportunity, of at least 14 days, to respond or put matters right; and consider your response before making a final decision. We will confirm our decision in writing and, where we end your Subscription other than for the reasons in clause 22(b) or 22(c), we will refund the unused, already-paid-for part of your current billing period on a pro-rata basis.

24. We may suspend your access immediately, without the process in clause 23, where we reasonably believe there is an urgent safeguarding, legal, fraud or safety issue, or a serious and ongoing breach of the Code of Conduct causing harm to others, for example harassment of another Fellow, or conduct endangering a chapter event. Where we do this, we will tell you the reason as soon as reasonably practicable afterwards and give you an opportunity to respond, and we will apply clause 23's pro-rata refund if, having considered your response, we decide to end (rather than merely suspend and then reinstate) your Subscription.

25. Clauses 22 to 24 govern your Subscription contract with us as a consumer protection matter and operate without prejudice to, and do not limit, the directors' separate and pre-existing discretion under Article 10 of our Articles of Association to admit, refuse, suspend or remove any person from the National Fellow, Local Fellow or Fellow categories at any time and for any reason the directors consider appropriate, as a matter of the Company's internal constitution. Where the directors act under Article 10 in a way that also ends your paid Subscription, we will still apply the pro-rata refund in clause 23, save in the cases described in clause 22(b) and 22(c).

Part 4: Conduct, chapters and events

26. You agree to observe our Code of Conduct at all times when engaging with Wyvern, other Fellows, chapter participants, or Wyvern events, whether online or in person. The Code of Conduct is incorporated into these Terms. Breach of it is a breach of these Terms for the purposes of clause 22(a).

27. If you take part in a Local Chapter or an event, you also agree to: (a) follow any specific chapter or event rules notified to you in advance; (b) follow the reasonable instructions of the Local Fellow or event organiser on matters of safety and conduct; and (c) accept that Local Chapters operate under the Chapter Affiliation Agreement between the relevant Local Fellow and Wyvern, and that Wyvern's directors retain full oversight of chapter activity and funds under Article 13.3 of our Articles of Association; a Local Chapter is not a separate organisation from Wyvern, and no Local Fellow or chapter officer has authority to vary these Terms.

28. We are not liable for the acts or omissions of a Local Fellow or another Fellow at a chapter event, except to the extent the law does not allow us to exclude that liability (see clause 30).

Part 5: Content, communications and data

29. Journal content, and all other content we make available to Fellows, is provided for your personal, non-commercial use as a Fellow and remains our property or that of our licensors. It is opinion and public-interest commentary, not legal, financial or professional advice, and you should not rely on it as such. You may not republish, redistribute or share paywalled content outside your own household. If your tier gives you the opportunity to submit entries to the Journal, doing so is governed by our separate Contributor Agreement (a private agreement signed directly between Wyvern and each contributor, not published on the Site), which deals with ownership, licensing and warranties for what you submit; these Terms do not themselves grant us rights in anything you write. This clause does not limit anything in our separate Website Terms of Use, which govern intellectual property in the site more generally.

30. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Subject to that, our total liability to you arising out of or in connection with your Subscription, whether in contract, tort or otherwise, is limited to the amount you have paid us for your Subscription in the 12 months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, or for loss of opportunity, reputation or goodwill.

31. We collect and use your personal data as described in our Privacy Notice. That notice covers member account data, the public Contact, Chapter interest, Business and Get Involved forms, and email campaigns, and names our processors, including Supabase, Stripe and Resend, and where data is transferred outside the UK. By subscribing you acknowledge you have had the opportunity to read it; it is not part of these Terms and we may update it separately in accordance with UK GDPR.

32. We will only send you marketing emails where we have a lawful basis to do so under the Privacy and Electronic Communications Regulations 2003, such as your opt-in at signup or, for existing Fellows, direct marketing about similar Wyvern content or services on a soft opt-in basis. Every marketing email includes a working unsubscribe link and our postal address. You can opt out of marketing at any time without affecting your Subscription; we will still send you service communications about your account, billing and these Terms.

33. Where our site uses cookies beyond those strictly necessary for your session, log-in and payment processing, we will ask for your consent through a cookie banner with a genuine option to reject, in accordance with PECR; see our Cookie Policy.

Part 6: General terms

34. We may update these Terms from time to time, for example to reflect a change in the law, our tiers, or how we operate. If we make a material change, we will tell you by email at least 30 days before it takes effect and, if you do not agree, you may cancel under clause 19 before the change applies to you. Non-material changes (for example, correcting an error or updating a contact address) may take effect immediately.

35. You may not transfer or assign your Subscription to anyone else without our consent. We may transfer our rights and obligations under these Terms to another organisation that takes over Wyvern's business, provided this does not reduce your rights under these Terms.

36. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

37. If any part of these Terms is found by a court or regulator to be unenforceable or unfair (including under the Consumer Rights Act 2015), that part will be treated as removed, and the rest of these Terms will continue to apply.

38. These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. If you are a consumer, you can bring proceedings in the courts of the part of the UK in which you live, or the courts of England and Wales; we can only bring proceedings against you in the courts of the part of the UK in which you live.

39. If you are unhappy with anything covered by these Terms, please use our Complaints Procedure, which sets out how to raise a complaint and how quickly we will respond. If we cannot resolve a dispute with you and you are a consumer, you may be able to use an alternative dispute resolution provider; details will be given in our final response to your complaint. This does not affect your right to bring a claim in court.

Schedule 1: Checkout consents

This Schedule forms part of these Terms. At checkout, you will be asked to give the following as distinct, actively-ticked confirmations; none of them is pre-ticked or bundled into another:

  • Confirmation of your date of birth, or self-certification that you are 18 or over (required to proceed; see clause 3)
  • "I have read and agree to the Fellow Terms and the Privacy Notice." (required to proceed)
  • "I want immediate access to paywalled Journal content and understand that, by accessing it, I lose my 14-day right to cancel this Subscription under the Consumer Contracts Regulations 2013." (optional; see clauses 16 and 17; if left unticked, you will not be given access to paywalled Journal content until the 14-day period in clause 15 has ended)
  • "Send me Wyvern email updates and offers." (optional, unticked by default)
