1.1 These website terms of use ("Website Terms") apply to anyone who visits or uses thewyvernfellowship.org and any related domains, apps or online services we operate (the "Site"), whether or not you hold a paid subscription. By using the Site you accept these Website Terms. If you do not accept them, please stop using the Site.
1.2 These Website Terms are separate from, and sit alongside:
- our Fellow Terms, which are a separate contract that applies only where you take out a paid Bronze, Silver, Gold or Patron subscription: see Which terms apply;
- our Donations Terms, which apply if you make a one-off or recurring donation through /donate;
- our Code of Conduct, which sets the standards of behaviour we expect from anyone engaging with our community, whether or not you are a paying subscriber;
- our Privacy Notice and Cookie Policy, which explain how we handle personal data and cookies; and
- our Contributor Agreement, which applies if you write for the Journal (this is a private agreement between Wyvern and each contributor, signed individually, and is not published on the Site).
Where there is a genuine conflict between these Website Terms and one of those other documents on a matter it specifically covers, the more specific document prevails on that matter.
1.3 We are The Wyvern Fellowship Ltd ("Wyvern", "we", "us", "our"), a private company limited by guarantee registered in England and Wales under company number 17438355, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX. We are established for public benefit and are not a charity; see clause 8.3.
Which terms apply
1.4 In short: everyone who uses the Site is bound by these Website Terms. If you also take out a paid subscription, you additionally accept the Fellow Terms for as long as you hold it. If you donate, you additionally accept the Donations Terms for that transaction. Holding a paid subscription does not exempt you from these Website Terms, and browsing the Site without a subscription does not give you the benefits described in the Fellow Terms.
2. Our intellectual property
2.1 Unless stated otherwise, the Site and everything published on it, including Journal articles, research and analysis, the Mission Statement, our name and logo, "Wyvern" and "The Wyvern Fellowship" as trading names and any associated marks, page design, graphics, photography, video and the underlying code, is owned by us or our licensors (including individual Contributors under our Contributor Agreement) and is protected by copyright, database right, trade mark and other intellectual property laws.
2.2 You may view, download and print extracts of the Site for your own personal, non-commercial use, and you may quote brief extracts for the purposes of criticism, review or comment, provided you credit us and link back to the original page where practicable. You must not:
- republish, redistribute, sell or sub-license material from the Site, or any substantial part of it, in any medium, without our prior written consent;
- systematically extract, scrape or download content from the Site, including for the purpose of training, fine-tuning or evaluating any machine-learning or artificial-intelligence model, except where we have expressly licensed this or the law gives you a right we cannot exclude;
- use our name, logo or any other Wyvern mark, or a confusingly similar name or mark, to suggest an affiliation, endorsement or partnership that does not exist; or
- remove or obscure any copyright, trade mark or other proprietary notice from material you are permitted to use under this clause.
2.3 If you submit or upload anything to the Site (for example, through a contact, chapter-interest, business or "get involved" form), you confirm it is your own work or you otherwise have the right to submit it, and you grant us a non-exclusive, royalty-free licence to use it for the purpose for which you provided it and for our internal administration. This clause does not apply to Journal submissions, which are governed by the separate Contributor Agreement.
2.4 Nothing in this clause 2 affects rights you may have under the Copyright and Rights in Databases Regulations 1997 or the Copyright, Designs and Patents Act 1988 that we cannot lawfully exclude.
3. What our research, journalism and advocacy content is, and is not
3.1 Under our Articles of Association, one of our objects is to conduct, commission or publish research and analysis into social, demographic, economic, cultural and community trends, and to advocate lawfully for policies and causes consistent with our objects. The Journal, our research publications, blog posts, briefings, newsletters and any public statements we make (together, "Editorial Content") are the product of that work.
3.2 Editorial Content is opinion and public-interest commentary. It is not, and must not be relied on as:
- legal advice: where we or a Contributor discuss legal or regulatory matters, this is commentary on matters of public interest, not advice on your individual circumstances, and is not a substitute for advice from a qualified, regulated solicitor;
- financial, tax or investment advice: nothing on the Site is a recommendation to buy, sell or hold any investment, or a substitute for advice from an authorised financial adviser or accountant;
- medical, health or safeguarding advice: nothing on the Site is a substitute for professional medical, mental-health or safeguarding advice, and if you or someone else is at risk you should contact the emergency services or an appropriate professional; or
- a statement of fact you should act on without your own enquiries: we take reasonable care over accuracy, and Article 51 of our Articles of Association requires us to keep records showing that our research and advocacy rely on publicly available information or data lawfully obtained, but research, journalism and advocacy necessarily involve interpretation, selection and judgement, and reasonable people can and do disagree with our conclusions.
3.3 Where we offer general information or signposting on legal or administrative matters (for example, to Fellows facing a housing, welfare or family difficulty), this is offered as lawful general information only. It is not regulated legal advice, we are not a firm of solicitors, and we do not accept instructions to act for you. You should seek independent, regulated advice for your specific situation.
3.4 We are not responsible for, and do not endorse, the views expressed by individual Contributors, event speakers, chapter organisers or other Fellows, except where we have expressly adopted a statement as an official position of Wyvern.
4. Acceptable use
4.1 You must use the Site lawfully and in a way that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, anyone else. In particular you must not:
- use the Site in any way that breaches any applicable local, national or international law or regulation;
- use the Site to send, upload or facilitate unsolicited advertising, chain letters, or any other form of spam;
- attempt to gain unauthorised access to any part of the Site, the server on which it is hosted, or any server, computer or database connected to it;
- attack the Site by way of a denial-of-service attack, or introduce any virus, malware or other material which is malicious or technologically harmful; or
- impersonate any person, or misrepresent your identity or affiliation with any person or organisation, including Wyvern.
4.2 If you interact with other users of the Site or our community spaces (including comments, forums, Discord, chapter events or contact forms), you must also observe our Code of Conduct at all times. A breach of the Code of Conduct is a breach of these Website Terms.
4.3 We may suspend or terminate your access to any interactive part of the Site (for example, comments or community areas) without notice if we reasonably believe you have breached clause 4.1 or 4.2, or where we consider it necessary for safeguarding, legal or security reasons. Where you also hold a paid subscription, the separate process in the Fellow Terms applies to suspension or termination of that subscription.
5. Third-party links and content
The Site may contain links to third-party websites (for example, sources cited in Journal articles, or partner organisations). We do not control and are not responsible for the content, accuracy or availability of any third-party site, and a link does not imply our endorsement of it. If you decide to visit any linked site, you do so entirely at your own risk.
6. Availability and changes to the Site
6.1 We aim to keep the Site available and to update Editorial Content regularly, but we do not guarantee that the Site, or any particular content, will be available, uninterrupted, secure or error-free at all times. We may suspend, withdraw, restrict or change all or part of the Site without notice, including for maintenance or security reasons.
6.2 We may update these Website Terms from time to time to reflect changes in the law, our services or how we operate. The version in force is the one published on the Site at the time you use it. If a change is material, we will take reasonable steps to draw it to the attention of registered users, but the updated Website Terms apply to your use of the Site from the date of publication.
7. Liability
7.1 Nothing in these Website Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
7.2 Subject to clause 7.1, and to the extent permitted by law:
- the Site and all Editorial Content are provided "as is" without warranties of any kind, express or implied, as to accuracy, completeness or fitness for a particular purpose;
- we are not liable for any loss or damage arising from your reliance on Editorial Content as if it were advice, contrary to clause 3;
- we are not liable for any loss or damage caused by a distributed denial-of-service attack, virus, or other technologically harmful material that may infect your equipment as a result of your use of the Site or your downloading of any content on it; and
- we are not liable for any indirect or consequential loss, or for loss of profit, business, goodwill or reputation, arising out of or in connection with your use of the Site.
7.3 This clause 7 does not affect your rights under the Fellow Terms, the Donations Terms or the Contributor Agreement, which contain their own liability provisions in relation to those specific arrangements.
8. Age, donations and other important notices
8.1 The Site is generally viewable by visitors of any age, consistent with our objects, which extend to families and community members of all ages. However, you must be 18 or over to enter into any contract with us through the Site, including taking out a paid subscription under the Fellow Terms, making a donation under the Donations Terms, or entering into the Contributor Agreement. See our Age Policy for the full position and the reasons for it.
8.2 If you are under 18, please only use the Site with the involvement of a parent or guardian, and do not submit any personal information through a form on the Site without their knowledge. We do not knowingly collect personal data from children in a way that is not permitted by UK data protection law.
8.3 We are not a registered charity. We are a company limited by guarantee established for public benefit, and an asset lock in our Articles of Association means our income and property must be applied only to our objects and cannot be distributed to our members. A donation to us is not eligible for Gift Aid, and we will never represent otherwise.
9. General
9.1 If any part of these Website Terms is found by a court or regulator to be unenforceable, that part will be treated as removed and the rest will continue to apply.
9.2 A person who is not a party to these Website Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of them.
9.3 These Website Terms, and any dispute arising out of or in connection with them or your use of the Site, are governed by the law of England and Wales, and the courts of England and Wales (or, if you are a consumer resident elsewhere in the UK, the courts of the part of the UK in which you live) have jurisdiction.
9.4 If you are unhappy with anything covered by these Website Terms, please use our Complaints Procedure, which sets out how to raise a concern and how quickly we will respond.
